Welcome to PrimeRadiantHub, an online tutoring platform. The herein Terms and Conditions constitute a legally binding agreement between you (the student/user) and PrimeRadiantHub, a sole proprietorship with its principal place of business in Elkton, MD.

 

 

1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Student," "Parent/Guardian," "Tutor," or "you") and PrimeRadiantHub, a sole proprietorship with its principal place of business in Elkton, MD.

By accessing, browsing, registering for, or using the site or any services offered through it (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice on the website. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

 

2. Eligibility and Accounts

2.1 Age Requirements

The Services are intended for use by individuals who are at least 18 years of age. If you are under the age of 18, you may only use the Services under the supervision and with the express consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

2.2 Account Registration

You agree to provide accurate, current, and complete information during course registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2.3 Account Termination

We reserve the right to suspend or terminate any student account, at our sole discretion, for violation of these Terms, fraudulent activity, or conduct that we determine, in good faith, to be harmful to other Users, Tutors, or the Platform.

3. Description of Services

PrimeRadiantHub provides an online platform connecting Students with Tutors for educational instruction, delivered via live video sessions and interactive tools, covering subjects including but not limited to Chemistry, Biology, Biochemistry, and other related fields.

We act solely as a platform connecting students with tutors and related study materials. We do not guarantee specific academic outcomes, grades, test scores, or admission results as a result of using the Services.

 

4. User Conduct

You agree not to:

a) Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law; b) Harass, abuse, threaten, or discriminate against any Tutor, Student, or Platform staff; c) Share, record, distribute, or reproduce session content (including video, audio, or written materials) without express written consent from all parties involved, except as necessary for personal study purposes; d) Impersonate any person or misrepresent your affiliation with any person or entity; e) Attempt to circumvent the Platform to arrange direct payment or sessions with a Tutor outside the Site (a "Circumvention"), which constitutes a material breach of these Terms; f) Upload or transmit viruses, malware, or engage in conduct that disrupts or interferes with the Site's functionality; g) Use automated systems (bots, scrapers) to access the Services without our prior written consent; h) Submit false, misleading, or fraudulent information, including academic credentials (for Tutors) or payment information.

We reserve the right to investigate and take appropriate legal action, including suspension or termination of accounts and reporting to law enforcement, against anyone who violates this section.

5. Tutoring Services and Scheduling

5.1 Booking and Cancellation

Sessions must be booked through the Platform's scheduling system. Cancellations made less than 24 hours before a scheduled session may be subject to a cancellation fee or forfeiture of the session, as detailed in our Cancellation Policy.

5.2 No Guarantee of Tutor Availability

While we strive to maintain a consistent roster of qualified Tutors, we do not guarantee the continuous availability of any specific Tutor.

5.3 Tutor Independence

Tutors providing Services through the Platform are independent contractors and are solely responsible for the content and quality of instruction they provide, subject to our Tutor Standards and Code of Conduct.

6. Fees, Payment, and Refunds

6.1 Pricing

Fees for Services are as listed on the Site at the time of booking and are subject to change with reasonable prior notice. All fees are stated in USD and are exclusive of applicable taxes unless stated otherwise.

6.2 Payment Processing

We accept all major forms of payment, including, but not limited to, Zelle, Venmo, and Cashapp. Payments are processed through the respective third-party payment processors. By providing payment information, you represent that you are authorized to use the designated payment method and authorize us to charge all fees incurred to that method.

6.3 Refund Policy

No refunds will be issued for completed sessions or sessions cancelled by the Student with less than 24 hours’ notice.

7. Intellectual Property Rights

7.1 Platform Content

All content on the Site, including text, graphics, logos, course materials, software, and design elements (excluding User-Generated Content), is the property of the Company or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use this content solely for personal, non-commercial educational purposes.

7.2 User-Generated Content

Any materials, assignments, questions, or content you submit to the Platform ("User Content") remain your property. By submitting User Content, you grant the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, and display such content solely for the purpose of providing and improving the Services.

7.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor reverse engineer or attempt to extract the source code of that software, except as permitted by applicable law.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 No Guarantee of Academic Results

We make no representations or warranties regarding specific academic outcomes, including grade improvement, test performance, or admission to any educational institution, resulting from use of the Services.

8.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.4 Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Services.

9. Third-Party Services and Links

The Site may contain links to third-party websites or integrate third-party tools (e.g., video conferencing software, payment processors). We are not responsible for the content, privacy practices, or terms of any third-party services, and your use of such services is at your own risk and subject to their respective terms.

 

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, USA, without regard to its conflict of law principles.

10.2 Informal Resolution

Prior to filing any claim, you agree to first contact us at yboni@primeradianthub.com to attempt to resolve the dispute informally.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive.

 

 

12. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental actions.

 

 

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and the Company concerning the Services and supersede all prior agreements and understandings.
